Step 2: the reporting entity

Your US entity

This becomes Part I of Form 5472 and the header of the pro forma Form 1120. Copy the details exactly as they appear on your formation documents and EIN letter.

Step 3: the foreign owner

The foreign owner

This becomes Part II of Form 5472 — the 25% foreign shareholder. For a single-member LLC, this is you or your holding company.

An SSN, ITIN or EIN. Most foreign owners of a US LLC do not have one, and the form allows it to be left blank. Leaving it blank does not stop you filing.

Required by the instructions when the foreign owner has no US identifying number. Any consistent code you invent is acceptable as long as you use the same one every year — for example OWNER-001.

Step 4: reportable transactions

Money that moved between you and the entity

These are the reportable transactions. Enter US dollar amounts for the tax year and leave anything that did not happen blank. Small amounts still count — a single capital contribution is enough to create a reporting obligation.

The two most commonly missed lines

Money you personally put into the LLC's bank account is a capital contribution. Money you moved out for your own use is a distribution. Both are reportable even if the business made no sales at all.

Formation fees, registered agent charges, software or bank fees you paid from your own money on the entity's behalf.

Describe it briefly. Non-monetary transfers and transactions for less than full consideration are described rather than totalled on the form.

Who has to file Form 5472?

Two main groups file Form 5472. First, a US corporation that has a 25% foreign shareholder and had a reportable transaction with a foreign related party during the tax year. Second, a US limited liability company that is treated as a disregarded entity and is wholly owned, directly or indirectly, by one foreign person.

Since tax years beginning on or after 1 January 2017, that foreign-owned disregarded entity is treated as a domestic corporation separate from its owner for reporting purposes, so it must file Form 5472 attached to a pro forma Form 1120. Full explanation for single-member LLCs →

Do I still have to file if my LLC had no income or no activity at all?

Often yes. The filing trigger is a reportable transaction with a related party, not profit. Money you put into the LLC as a capital contribution, money you take out as a distribution, a loan between you and the LLC, and amounts the LLC paid on your behalf are all reportable transactions. Many dormant LLCs still have at least one of these.

An LLC with genuinely zero transactions of any kind, including formation costs paid by the owner, may have no filing obligation, but that is an uncommon fact pattern and worth confirming with a tax professional. Read the dormant-LLC page →

What is the penalty for not filing Form 5472?

The penalty under Internal Revenue Code sections 6038A and 6038C is $25,000 for each failure to file a substantially complete Form 5472 on time, applied per form and per tax year. An additional $25,000 can apply for each 30-day period, or part of a period, that the failure continues after the IRS sends notice, with no maximum stated in the statute. Criminal penalties can also apply for deliberate falsification.

Does the tool file the form with the IRS for me?

Foreign-owned disregarded entities generally cannot e-file a pro forma 1120 with Form 5472 attached and file by mail or fax to the address given in the current IRS instructions.
